General terms and conditions
Visual Space GmbH · Version 2024
I. General provisions
1. Scope
1.1. In all contractual relationships in which Visual Space GmbH, Kellerbergstraße 17, 82266 Inning am Ammersee, Germany (hereinafter “VS”) provides services for other companies or entrepreneurs, legal entities under public law or special funds under public law (hereinafter “Client”), the General Terms and Conditions (GTC) of VS apply exclusively. Unless otherwise agreed, the GTC in the version valid at the time of the Client’s order, or in any case in the version last communicated to the Client, also apply as a framework agreement to future contracts, without VS having to refer to them again in each individual case.
1.2. These GTC apply exclusively. Conflicting or supplementary terms of the Client shall not become part of the contract – unless VS has agreed to them in writing – even if VS performs a contract or provides a service without expressly objecting to such terms.
2. Offer and conclusion of contract
2.1. Offers made by VS are subject to change and non-binding, unless they have been expressly designated as a binding offer.
2.2. The Client’s order constitutes a binding contractual offer. VS may accept the Client’s orders within two weeks.
2.3. VS reserves ownership or copyright in all offers and cost estimates it issues, as well as in drawings, illustrations, calculations, brochures, catalogues, models, tools and other documents and aids made available to the Client. The Client may not make these items accessible to third parties, disclose them, use them itself or through third parties, or reproduce them, either as such or in terms of content, without the express consent of VS. At the request of VS, the Client shall return these items in full and destroy any copies made if they are no longer required by the Client in the ordinary course of business or if negotiations do not lead to the conclusion of a contract. This does not apply to the storage of electronically provided data for the purpose of customary data backup.
3. Formal requirements
3.1. Contractual guarantees and assurances, in particular where they go beyond the scope of these terms and conditions, require express written confirmation by VS.
3.2. Amendments and additions to contracts between VS and the Client must be made in writing to be effective. The written form requirement laid down here and elsewhere in these GTC may also be satisfied by e-mail, fax or exchange of letters.
3.3. Legally relevant notices and declarations by the Client relating to the contract (e.g. notice of defects, setting of deadlines, withdrawal) must be made in text form. Statutory form requirements and further evidence, in particular in the event of doubts about the authority of the declaring party, remain unaffected.
4. Time of performance, subcontractors
4.1. Dates and times of performance are not fixed deadlines unless they have been expressly granted as fixed deadlines by VS in writing.
4.2. VS decides how many and which employees – at its discretion also freelancers and subcontractors – are deployed and which services are awarded to third parties.
5. Project phases
5.1. In accordance with the Client’s specifications, in particular with regard to budgeting, and on the basis of the offer accepted by the Client, VS will design and visualise the fit-out, interior design or trade fair stand (concept and visualisation).
5.2. If commissioned to implement a design created by VS, VS will perform the contractual services in accordance with the recognised rules of technology and official regulations (implementation).
6. Project management
Immediately after conclusion of the contract, VS and the Client shall each appoint a project manager and a deputy project manager who are authorised to make all decisions regarding the subject matter of the contract and who are the exclusive contact persons for arrangements and coordination of all kinds. The parties shall inform each other without delay of any changes in project management.
7. Grace periods
7.1. Where the Client sets deadlines or grace periods for subsequent performance or for remedying a defect or deficiency, these deadlines must be reasonable and allow VS at least two attempts at rectification. Depending on the scope and technical difficulty, the deadline should as a rule be at least 10 working days, unless an even shorter rectification is required due to the Client’s legitimate interests, taking technical feasibility into account.
7.2. Deadlines set by the Client as provided for by law or contract must – except in cases of urgency – be at least ten working days. If the unsuccessful expiry of a deadline is to entitle the Client to terminate the contract (e.g. by withdrawal, termination or damages in lieu of performance) or to reduce the remuneration, the Client must announce these consequences of the unsuccessful expiry of the deadline in text form together with the setting of the deadline. After expiry of a deadline set in accordance with sentence 2, VS may demand that the Client exercise the rights resulting from the expiry of the deadline within two weeks of receipt of the request.
8. Prices; payment; set-off
8.1. All prices apply to the scope of services listed in the order confirmation. Additional or special services will be charged separately.
8.2. All prices are net plus the applicable statutory value added tax.
8.3. The remuneration is due and payable within 14 days of invoicing and delivery or acceptance. However, VS is entitled at any time, even within the framework of an ongoing business relationship, to perform a service in whole or in part only against advance payment. VS shall declare such a reservation at the latest with the order confirmation. Upon expiry of the payment period pursuant to sentence 1, the Client shall be in default. During the default, interest shall accrue on the remuneration at the applicable statutory default interest rate. VS reserves the right to claim further damages caused by default.
8.4. If remuneration is based on time spent, the information in an offer or in the order confirmation from VS is only a calculation or estimate, unless a flat fee is expressly agreed. If the parties agree on billing according to time and effort, VS may require the Client to sign a time sheet submitted by VS or its employee. The effort incurred will be listed in the invoice or in a separate annex to the invoice. If the Client does not object to the accuracy of the statement in text form within two weeks, the Client bears the burden of proof for its inaccuracy. Receipt of the objection by VS is decisive for timeliness.
8.5. Set-off against counterclaims of the Client or the withholding of payments on account of such claims is only permitted insofar as the counterclaims are undisputed or have been legally established or arise from the same order under which the service in question was provided.
9. Termination and cancellation
9.1. Extraordinary termination. The right of both contracting parties to extraordinary termination for good cause remains unaffected. An extraordinary termination of the exchange of services due to a delay in performance may be demanded in particular if the other contracting party is solely or predominantly responsible for the delay and the entitled party cannot reasonably be expected to continue the contract, taking into account all circumstances of the individual case and the interests of both contracting parties.
9.2. Ordinary termination by the Client. The Client’s statutory right to ordinary termination remains unaffected where provided for by law. In the event of termination, VS retains the right to remuneration for services already rendered up to the time of termination and to reimbursement of all costs and obligations towards third parties already incurred, commissioned or no longer cancellable up to that point. For services not yet rendered, the following cancellation conditions apply in addition.
9.3. Cancellation of events, trade fair and production services. If the Client cancels an event, trade fair project or comparable production that has already been commissioned, VS is entitled to demand the following flat-rate remuneration based on the agreed net order value:
a) for cancellation more than 30 calendar days before the agreed event or production date: 30 %,
b) for cancellation 30 to 15 calendar days before the agreed event or production date: 50 %,
c) for cancellation 14 to 8 calendar days before the agreed event or production date: 75 %,
d) for cancellation from 7 calendar days before the agreed event or production date: 100 % of the agreed net order value.
This also applies to cancellation on the day of the event or if the Client fails to appear or fails to accept the agreed services.
9.4. Services already produced, ordered or bindingly commissioned. Irrespective of the above cancellation fees, services and costs which VS has already rendered, produced, ordered or bindingly commissioned from suppliers, caterers, technical service providers, artists, staff, venues, rental companies, subcontractors or other third parties at the time of cancellation and which can no longer be cancelled free of charge shall be paid in full by the Client. These include in particular catering, food and beverages, individually agreed menus, staff, technical equipment, decoration, flowers, furniture, rental items, transport, logistics, production services, custom-made items and other goods and services procured specifically for the event.
9.5. Proof of a lower claim. The Client expressly reserves the right to prove that VS is entitled to no or significantly lower remuneration as a result of the cancellation, taking into account saved expenses and other earnings, than under the above flat rates. Conversely, VS remains entitled to prove and claim higher damage actually incurred or a further claim to remuneration in accordance with the statutory provisions.
9.6. Form of cancellation. Cancellations and terminations by the Client must be made at least in text form, in particular by e-mail. The time of receipt of the cancellation by VS is decisive for calculating the cancellation period.
10. Liability
10.1. Unless otherwise stated in these GTC, including the following provisions, VS is liable for breaches of contractual and non-contractual obligations in accordance with the statutory provisions.
10.2. VS is liable for damages – regardless of the legal grounds – within the scope of fault-based liability in cases of intent and gross negligence. In cases of simple negligence, VS is liable, subject to a milder standard of liability under statutory provisions (e.g. care in its own affairs), only a. for damages resulting from injury to life, body or health, b. for damages resulting from a not insignificant breach of an essential contractual obligation (cardinal obligation); in these cases, however, the liability of VS is limited to compensation for foreseeable, typically occurring damage.
10.3. The limitations of liability resulting from clause 10.2 also apply to breaches of duty by or in favour of persons whose fault VS is responsible for under statutory provisions. They do not apply if VS has fraudulently concealed a defect or assumed a guarantee for the quality of the goods, or to claims of the Client under the Product Liability Act.
11. Retention of title
VS retains ownership of and rights to the contractual service until full settlement of the remuneration claims arising from the contract. The Client is only entitled to resell or transfer it after written notification to VS and only in the ordinary course of business.
12. References
VS is permitted to name the Client as a reference client in print or online publications and to publish a reasonable number of photos of the visualisation or the completed work. In doing so, VS will take the legitimate interests of the Client into account.
13. Choice of law, place of jurisdiction
13.1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and the conflict of laws rules.
13.2. If the Client is a merchant, a legal entity under public law or a special fund under public law, Munich is the exclusive – including international – place of jurisdiction for all disputes arising from or in connection with the contractual services. In legal disputes, VS may alternatively bring an action at the Client’s general place of jurisdiction. Overriding statutory provisions, in particular regarding exclusive jurisdiction, remain unaffected.
13.3. The place of performance is Munich, unless otherwise agreed.
II. Concept, visualisation
In the concept and visualisation phase, the provisions of this Section II take precedence; those of Section I (General provisions) apply in addition.
1. Subject matter of the services
1.1. In accordance with the Client’s specifications, in particular with regard to budgeting, and on the basis of the offer accepted by the Client, VS will design and visualise the fit-out, interior design or trade fair stand.
1.2. VS will perform the contractual services in accordance with the recognised rules of technology and the official regulations applicable at the time of the expected acceptance of the service.
1.3. VS owes the preparation of the number of designs specified in the offer; a basic fee is agreed for this. If the Client commissions further designs that are not merely a minor re-planning of designs already prepared, these are subject to additional remuneration as stated in the offer.
2. Revision rounds
2.1. As soon as VS has provided the Client with the first design, the Client may request the incorporation and implementation of a change request (= revision round) in text form.
2.2. Unless otherwise agreed in the offer, the basic fee (cf. II. clause 1.3.) covers two revision rounds.
2.3. Further revision rounds will be charged to the Client on a time basis at the hourly rate stated in the offer plus VAT. Otherwise, I. clause 8.4 applies.
3. Copyright usage rights
3.1. Subject to the condition precedent of payment of the full remuneration, VS grants the Client the unlimited and exclusive copyright usage right to the design underlying the respective drafts. Unless otherwise agreed, these designs may not be used for other objects, edited or modified, or used by third parties. Spatially, the usage right is limited to the premises to which VS related the designs.
3.2. VS warrants that it holds the copyright usage rights and that they are not encumbered with third-party rights.
3.3. In all other respects, the parties agree on the corresponding application of the copyright provisions, in particular §§ 15 et seq., 31 et seq. of the German Copyright Act (UrhG), even if no original copyright protection arises.
3.4. Even after delivery of the work, VS remains the owner of designs, original drawings, print templates, models and other templates used.
III. Implementation
In the implementation phase, the provisions of this Section III take precedence; those of Section I (General provisions) apply in addition.
1. Subject matter of the services
1.1. If commissioned to implement a design created by VS in accordance with Section II (Concept, visualisation), VS will perform the contractual services in accordance with the recognised rules of technology and official regulations.
1.2. A deviation from the contractually agreed standard of performance is harmless and does not constitute a defect if it results in a service of at least equivalent or even higher quality.
2. Crediting of the concept fee against implementation
The agreed basic fee for concept and visualisation (cf. II. clause 1.3) will be credited against the contract price agreed with and owed by the Client for the implementation of the project; this excludes the additional fee for preparing additional designs (cf. II clause 1.3) and the time-based remuneration for revision rounds (cf. II clause 2).
3. Extensions of the order
At the written request of the Client, VS undertakes to carry out extensions to the originally commissioned service, provided that its business is geared to such services and the extension is reasonable.
4. Services to be provided on site by the Client
Unless otherwise agreed, the Client is obliged to provide construction electricity and construction water on site in the required quantity.
5. Transfer of risk, acceptance
5.1. For services capable of acceptance, a formal acceptance will be carried out at the request of either party. The Client’s request must be made in text form.
5.2. In the case of insignificant defects, the Client may not refuse acceptance but may declare acceptance subject to reservation.
5.3. If the Client does not declare acceptance without delay, VS may set the Client a period of one week in writing to make this declaration. Acceptance is deemed to have taken place if the Client does not specify in writing the reasons for refusing acceptance within this period.
IV. Rental of items for event and trade fair concepts
If the subject matter of the contract is the rental of items for event or trade fair concepts, the provisions of this Section IV take precedence; those of Sections I (General provisions), II (Concept and visualisation) and III (Implementation) apply in addition.
1. Obligations of VS
1.1. The scope of the services to be provided by VS is set out in the offer or the written order confirmation. Performance data and samples are only binding if confirmed as such in writing.
1.2. Promised delivery, completion and provision periods and dates are non-binding unless confirmed as binding by VS in writing. The start of the delivery, completion and provision period stated by the Client presupposes the clarification of all technical questions.
1.3. If VS is responsible for failure to meet bindingly promised deadlines and dates, the Client is entitled to compensation for delay, but in total no more than 10 % of the net invoice value of the service affected by the delay. Further claims are excluded unless the delay is due to gross negligence or intent on the part of VS.
1.4. Compliance with delivery, completion and provision periods by VS presupposes the timely and proper fulfilment of the Client’s obligations, in particular the timely receipt of down payments, if agreed.
1.5. If the Client is in default of acceptance or breaches other obligations to cooperate, VS is entitled to claim compensation for the damage incurred, including any additional expenses. In this case, the risk of accidental loss or accidental deterioration of the subject matter of the contract also passes to the Client at the time the Client is in default of acceptance.
2. Obligations of the Client
2.1. The Client ensures free access to the venue, loading and unloading facilities during set-up and dismantling, and sufficient free parking in the immediate vicinity.
2.2. The Client may only use the rented items properly, must avoid excessive use and must protect them against fire, water damage, burglary and other loss. The Client is fully liable for lost items or their damage as well as improper use.
2.3. None of the rented items are insured by VS during the term of the contract; rather, the Client must provide appropriate insurance cover against fire, water damage, burglary and other loss.
2.4. During the rental period, including set-up and dismantling time, the Client must provide a suitable security service.
2.5. The Client provides free and sufficient catering for the VS set-up and dismantling team.
3. Liability of the Client
The Client is liable to VS for the loss of rented items and for damage to them caused by improper handling or wilful damage. In these cases, VS may claim flat-rate damages amounting to 50 % of the original net purchase cost of the rented item. The proof and assertion of higher or lower damage by VS remain unaffected. Likewise, the Client remains entitled to prove lower damage to VS.
4. Delays in delivery and performance
4.1. VS is not responsible, even in the case of bindingly agreed deadlines, for delays in delivery and performance due to force majeure and events beyond the control of VS that make performance significantly more difficult or impossible, such as strikes, lockouts, official orders, outages or disruptions at physical network operators, even if they occur at third parties. They entitle VS to postpone performance for the duration of the hindrance plus a reasonable start-up period or to withdraw from the contract in whole or in part with regard to the part not yet fulfilled.
4.2. If there is a significant hindrance for which VS is responsible, the Client is only entitled to reduce payments for ongoing services from the time of the hindrance appropriately. Only hindrances that make it significantly more difficult for the Client to use the service as a whole, or, if several services are contractually agreed, make the use of individual services completely impossible, are considered significant.
5. Defects
5.1. The Client is obliged to inspect the services/goods of VS immediately after set-up.
5.2. Acceptance of the furniture takes place immediately after completion of set-up, i.e. before the start of the event. Defects must be reported clearly and unambiguously in text form at the latest at this time. Later notices of defects are invalid.
5.3. Defects that cannot be discovered even with careful inspection during acceptance must be reported to the contractor in text form immediately after discovery.
5.4. The warranty is limited to rectification or replacement. However, the Client is entitled to demand a reduction of the remuneration or rescission of the contract after rectification has failed three times within a reasonable period.
